Affiliate Program Terms of Service

Effective Date: March 30, 2026

These Affiliate Program Terms of Service (“Affiliate Terms”) constitute a legally binding agreement between you (“Affiliate,” “you,” or “your”) and United Lanes LLC, a Nebraska limited liability company, doing business as TruckerDB (“Company,” “we,” “us,” or “our”).

By applying to or participating in the TruckerDB Affiliate Program (“Program”), you acknowledge that you have read, understood, and agree to be bound by these Affiliate Terms.

1. PROGRAM OVERVIEW

The Program allows approved Affiliates to promote TruckerDB and earn commissions on qualifying subscriptions through a unique referral link (“Affiliate Link”).

Participation in the Program is subject to approval at the sole discretion of the Company.

2. COMMISSION STRUCTURE

Affiliates earn thirty percent (30%) recurring commission on qualifying subscription payments generated through their Affiliate Link.

Commissions are earned only on successfully processed and collected payments.

2.1 Lifetime Commissions

“Lifetime” commissions apply only for as long as:

  • The referred customer remains an active paying subscriber; and
  • The Affiliate remains in good standing with the Program.

The Company reserves the right to modify commission structures for future referrals at any time.

4. PAYMENT TERMS

4.1 Payment Schedule

Commissions are calculated based on activity from the previous calendar month.

Payments are issued on the 7th day of each month.

If the 7th falls on a weekend or recognized holiday, payments will be made on the next business day.

4.2 Minimum Payout Threshold

A minimum balance of $100 USD is required for payout.

Balances below this threshold will roll over to the next payment cycle.

4.3 Payment Conditions

Commissions will only be paid if:

  • The underlying transaction has been successfully processed;
  • The payment has not been refunded, disputed, or charged back;
  • The account is determined to be legitimate and not fraudulent.

4.4 Adjustments and Withholding

The Company reserves the right to:

  • Reverse commissions for refunds, chargebacks, or failed payments;
  • Withhold or delay payments due to suspected fraud, abuse, or violations of these Terms;
  • Require verification of traffic sources prior to issuing payments.

5. PROHIBITED ACTIVITIES

Affiliates may NOT engage in any of the following:

5.1 Self-Referrals

  • Using your own Affiliate Link to purchase subscriptions;
  • Creating accounts for yourself or related parties to generate commissions.

5.2 Fraudulent Conduct

  • Use of bots, fake accounts, or deceptive practices;
  • Cookie stuffing or manipulation of tracking systems;
  • Any attempt to artificially inflate commissions.

5.3 Misrepresentation

  • Making false or misleading claims about the Service;
  • Representing yourself as the Company;
  • Implying partnership, employment, or endorsement beyond participation in the Program.

5.4 Brand and Advertising Restrictions

  • Bidding on branded keywords (including “TruckerDB”) without prior written consent;
  • Registering domains or social accounts that impersonate or resemble the Company;
  • Using Company trademarks without authorization.

5.5 Unlawful Promotion

Affiliates must comply with all applicable laws, including but not limited to:

  • CAN-SPAM Act
  • TCPA

6. QUALIFYING REFERRALS

A referral qualifies for commission only if:

  • The user signs up through your Affiliate Link;
  • The account is legitimate and not fraudulent;
  • Payment is successfully completed;
  • The account is not refunded, canceled, or disputed.

All determinations are made at the Company’s sole discretion.

7. AFFILIATE RESPONSIBILITIES

You agree to:

  • Use lawful and ethical marketing practices;
  • Provide accurate and non-misleading information;
  • Comply with all applicable advertising, disclosure, and marketing laws.

8. DISCLOSURE REQUIREMENTS

Affiliates must clearly and conspicuously disclose their relationship with the Company in all promotional materials, in accordance with applicable regulations.

9. INTELLECTUAL PROPERTY

All intellectual property rights remain the exclusive property of the Company.

Affiliates are granted a limited, revocable, non-exclusive license to use approved marketing materials solely for Program participation.

10. TERMINATION

The Company reserves the right to terminate your participation at any time, with or without cause.

Grounds for termination include, but are not limited to:

  • Violation of these Affiliate Terms;
  • Fraudulent or abusive activity;
  • Conduct that harms the Company’s reputation.

Upon termination:

  • All unpaid or future commissions may be forfeited at the Company’s sole discretion;
  • Access to the Program will be revoked.

11. MODIFICATION OF PROGRAM

The Company reserves the right to modify, suspend, or terminate the Program at any time.

Changes may apply prospectively to future referrals.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • The Company shall not be liable for indirect, incidental, or consequential damages;
  • Total liability shall not exceed commissions paid to you in the prior thirty (30) days.

13. INDEPENDENT CONTRACTOR STATUS

Affiliates are independent contractors.

Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship.

14. GOVERNING LAW

These Terms shall be governed by the laws of the State of Nebraska, without regard to conflict of law principles.

15. TAXES AND REPORTING OBLIGATIONS

15.1 Affiliate Responsibility for Taxes

You are solely responsible for all taxes arising from commissions earned through the Program, including but not limited to:

  • Income taxes
  • Self-employment taxes
  • Value-added tax (VAT), goods and services tax (GST), or similar taxes

The Company does not provide tax advice and makes no representations regarding your tax obligations.

15.2 U.S. Tax Reporting (Form 1099-NEC)

If you are a United States-based Affiliate and your total earnings meet or exceed the applicable reporting threshold (currently $600 USD in a calendar year), the Company may issue you a Form 1099-NEC as required by law.

To receive payments, you may be required to provide accurate tax documentation, including a completed IRS Form W-9.

15.3 Withholding and Documentation

The Company reserves the right to:

  • Withhold payments if required tax documentation is not provided;
  • Delay or suspend payouts until compliance requirements are satisfied;
  • Comply with any applicable tax withholding obligations under law.

15.4 International Affiliates

If you are located outside the United States, you are solely responsible for complying with all local tax laws in your jurisdiction.

The Company may request additional documentation (such as Form W-8BEN or equivalent) prior to issuing payments.
